In order to attend the annual Eye Care Leaders One 2018 Summit (“Summit”) you must be a licensed client or affiliated practice of such client, in good standing ("Client"), who has directly purchased a license for Eye Care Leaders, myCare Services, myCare iMedicWare, myCare Integrity, Medflow, ManagementPlus, MDOffice, My Vision Express, KeyMedical, EyeDoc, IO Practiceware or one of its affiliates, including without limitation ECL Group, LLC (collectively the “Company”) or through a certified Reseller of the Company. Consultants, vendors and other partners of the Company are eligible to exhibit or attend by exclusive invitation only. Without the prior written approval of a member of Company’s executive team, only direct employees of Clients, consultants, vendors, and partners of Company may attend the Summit. The Company reserves the right to deny registration for any reason or no reason to any Client or any other entity and/ or individual. Instructional sessions are designed to inform and educate our Clients and participation is limited to Clients only. Clients understand and agree that certain information furnished to you by Company in connection with the Summit, regardless of the form in which such information is presented, is confidential, non-public and/or proprietary information (“Confidential Information”) and is the sole property of Company. You agree not to disclose the Confidential Information to any third party for any reason whatsoever, and to protect the Confidential Information using the same degree of care you use to protect your confidential information (but in no event less than a reasonable amount of care), for a period of two (2) years from the last day of the Summit. Client also agrees to indemnify and hold harmless the Company, its officers, directors, employees and agents Orlando World Marriott, and all agents and employees thereof, and metroConnections and its officers, directors, employees, and agents (hereinafter collectively called “Indemnities”) forever harmless from any damages, liabilities, claims, demands, or actions arising out of the actions or inactions of Client, its servants, employees, contractors, or agents. This indemnification shall extend to claims for actual or alleged (a) injury to any person, (b) damage to any property, (c) economic loss, (d) business and/or production loss, (e) product or service deficiencies or damage, or (f) other violation of any statute, law, ordinance, or regulation, including but not limited to claims, as well as claims arising from the alleged action, inaction, or negligence of Client. Client shall at all times defend, protect, indemnify, save, and hold harmless the Indemnities against and from any and all losses, costs, damages, liability, or expenses (including attorney’s fees) arising from or out of or by reason of any accident or bodily injury or other occurrences to any property, person or persons, including Client, its agents, employees, and business invitees which arise from or out of or by reason of said Client’s occupancy and use of the facilities, or any part thereof.
